These Terms of Use (“Terms”) are an agreement between you and READY Identity, LLC (“READY,” “we,” “us,” or “our”) and govern your access to and use of READY’s websites, accounts, assessments, READY Identity experiences, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless applicable law provides otherwise. Accounts may require email verification, and access may be limited to approved participants during controlled testing.

2. What READY provides

READY provides tools intended to help people reflect on career readiness, organize professional evidence, and explore a future professional identity. Some launch experiences use prepared or provisional content and may be personalized only in limited ways. READY does not promise that a score, assessment, recommendation, pathway, or READY Identity is complete, validated, or predictive.

The Services are not employment, recruiting, legal, financial, medical, or other professional advice. READY does not guarantee employment, promotion, compensation, performance, credentials, admission, or any other result. You remain responsible for decisions you make using the Services.

3. Acceptable use

You may use the Services only for lawful purposes. You may not misuse the Services; access another person’s account or private information; interfere with security or operation; probe or circumvent access controls; introduce malicious code; scrape or copy the Services through automated means without permission; impersonate another person; submit information you do not have the right to use; or use READY content to make unlawful, discriminatory, deceptive, or high-impact decisions about another person.

4. Your content

You retain ownership of information and content you submit. You give READY a limited, non-exclusive license to host, copy, process, and display that content only as needed to operate, secure, support, and improve the Services and as described in the Privacy Policy. You represent that you have the rights needed to submit the content and that it does not violate law or another person’s rights.

Your assessment answers, results, and READY Identity are private by default in this launch version. Do not submit confidential employer information, trade secrets, regulated records, or other sensitive information that READY has not specifically requested.

5. READY materials

The Services, including their software, design, branding, assessments, frameworks, text, and other READY-provided materials, are owned by READY or its licensors and protected by applicable law. Subject to these Terms, READY grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. No other rights are granted.

6. Feedback

If you send ideas or feedback, you allow READY to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

7. Third-party services and links

The Services may depend on or link to third-party services. READY is not responsible for third-party content, availability, security, or practices. Your use of a third-party service may be governed by separate terms and privacy policies.

8. Suspension and termination

You may stop using the Services at any time and may request account deletion through the available account control or by contacting support. READY may suspend or terminate access when reasonably necessary to protect users or the Services, investigate suspected misuse, comply with law, or address a material breach of these Terms. Where practical, we will provide notice and an opportunity to resolve the issue.

9. Service changes

READY is an evolving service. We may add, change, limit, or discontinue features, including controlled or preview features. We will not use a service change to avoid obligations that already apply to personal information or paid services, if any.

10. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available.” READY disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. READY does not warrant that the Services will always be available, secure, accurate, or error-free. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

11. Limitation of liability

To the extent permitted by law, READY and its owners, personnel, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, opportunities, data, goodwill, or business interruption arising from the Services. READY’s total liability for claims relating to the Services will not exceed the greater of US $100 or the amount you paid READY for the Services during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

12. Resolving concerns

Please contact [email protected] first so we can try to resolve a concern informally. These Terms are governed by applicable law, including any mandatory consumer protections that apply to you. Nothing in these Terms limits a right or remedy that cannot lawfully be limited.

13. Changes to these Terms

We may update these Terms as the Services change. We will post the new version and effective date and provide additional notice when required. Changes apply prospectively. If you do not agree to updated Terms, you must stop using the Services.

14. General terms

These Terms and the Privacy Policy are the agreement between you and READY about the Services. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without READY’s consent; READY may transfer them as part of a merger, reorganization, financing, or sale of the relevant business, subject to applicable law.
